Terms of Service

1. Acceptance of Terms

By accessing or using the ZipeerTech website (https://www.zipeertech.in) and engaging our custom software engineering services, you agree to comply with and be bound by these Terms of Service. If you are entering into this agreement on behalf of a company, you represent that you have legal authority to bind that entity.

2. Engineering & Consulting Scope

All custom software development, cloud infrastructure consulting, and maintenance engagements are executed under individual Statements of Work (SOW) or Master Services Agreements (MSA). Each SOW specifies itemized sprint deliverables, acceptance criteria, milestone timelines, and fixed or time-and-materials pricing terms.

3. 100% Intellectual Property & Code Ownership

We stand firmly behind complete client ownership. All custom source code, database architectures, API schemas, UI design assets, and technical documentation authored specifically for a client project become the sole and exclusive intellectual property of the client upon settlement of the corresponding milestone invoices.

We do not impose proprietary vendor lock-in, recurring runtime licensing fees for custom code, or code-escrow barriers. All commits are continuously pushed to the client’s private GitHub or GitLab repository.

4. Milestone Payments & Delivery Acceptance

For structured fixed-price builds, projects proceed through four transparent phases:

• Discovery & Architecture: 25% deposit upon signing and sprint planning.
• Prototype / Core Build: 25% upon review of interactive prototype and data model.
• Integration & Staging: 25% upon feature-complete staging deployment and client QA.
• Final Handover: 25% upon production deployment, DNS cutover, and repository sign-off.

5. Confidentiality & Mutual Non-Disclosure

Both parties agree to treat all business logic, user data, source code, and commercial terms as strictly confidential. Prior to reviewing proprietary specifications, ZipeerTech routinely executes mutual NDAs enforceable under applicable corporate law.

6. Governing Law & Dispute Resolution

These Terms and any project contracts shall be governed by and construed in accordance with the laws of India. For domestic disputes, the courts of Gautam Buddha Nagar (Noida), Uttar Pradesh shall have exclusive jurisdiction. For international cross-border contracts, disputes may be resolved through expedited arbitration under the Rules of the Singapore International Arbitration Centre (SIAC) or international commercial arbitration rules agreed upon in the individual MSA.
